{"id":87,"date":"2026-04-15T12:18:13","date_gmt":"2026-04-15T10:18:13","guid":{"rendered":"https:\/\/grupo.lacasa.es\/en\/?page_id=87"},"modified":"2026-09-07T15:38:33","modified_gmt":"2026-09-07T13:38:33","slug":"code-of-conduct","status":"publish","type":"page","link":"https:\/\/grupo.lacasa.es\/en\/code-of-conduct\/","title":{"rendered":"Conduct Guidelines"},"content":{"rendered":"<h2>INTRODUCTION<\/h2>\n<p>A Code of Conduct is a management tool that establishes specific rules to define the practices and behaviours that should be encouraged or prohibited within an organisation or by an individual, based on its declaration of values, principles and beliefs. This Code of Conduct sets out the ethical commitments and basic standards for appropriate relationships with the main stakeholders (employees, customers, suppliers, shareholders, business partners, consumers, government authorities and competitors), in line with the principles and approach of Grupo Lacasa's Corporate Social Responsibility. All operations will be carried out from an ethical and responsible standpoint. All natural or legal persons who have employment, economic, social or industrial relationships with Grupo Lacasa will receive dignified and fair treatment, and will likewise be required to act reciprocally.<\/p>\n<h2>PURPOSE<\/h2>\n<p>The main purpose of this Code of Conduct is to set out the standards of conduct to be followed by all members of the organisation in their dealings with all the parties with whom they interact.<\/p>\n<h2>SCOPE OF APPLICATION<\/h2>\n<p>The Code of Conduct applies to the entire workforce of Grupo Lacasa, regardless of the position they hold or the place where they carry out their work. The standards of conduct contained in this Code are mandatory, and their application will be promoted among suppliers, distributors and partner companies, with the aim of encouraging them to adopt similar standards of conduct. Likewise, both the Board and Senior Management of Grupo Lacasa must serve as a model of reference in their conduct and level of compliance with the Code of Conduct, demonstrating an unequivocal commitment to and support for the Code and the other instruments of the model, in order to create a genuine culture of ethics and compliance.<\/p>\n<h2>STANDARDS OF CONDUCT<\/h2>\n<p>The Code of Conduct sets out specific standards of conduct in the following areas:\u00a0<strong>I. GOOD FAITH AND ETHICAL INTEGRITY<\/strong>\u00a0Grupo Lacasa is committed to acting with professionalism and honesty in carrying out its activities. For this reason, any action involving the exercise of any practice contrary to applicable regulations, in particular criminal regulations, is prohibited, including:<\/p>\n<ul>\n<li>Money laundering.<\/li>\n<li>The acceptance or offering of gifts, presents or prizes by suppliers in order to obtain a favourable position, under the terms set out in the Gifts Policy.<\/li>\n<li>The acceptance of payments or bribes, or the offering or promise thereof, to public officials, as established in the Anti-Fraud Policy.<\/li>\n<li>Any situation in which a relationship of friendship or kinship could affect or influence hiring or promotion processes for employees.<\/li>\n<li>Avoiding sponsorships granted in exchange for commissions or promises.<\/li>\n<li>Offering commissions not set out in a contract, in exchange for increasing or maintaining the sales volume of the company's products.<\/li>\n<\/ul>\n<p><strong>II. RESPECT FOR THE LAW AND REGULATORY COMPLIANCE\u00a0<\/strong>Grupo Lacasa employees will scrupulously comply with the applicable legislation in each territory and, in doing so, will respect the letter and the spirit of this Code of Conduct. No member of the organisation shall knowingly collaborate with third parties in the violation of any law, nor participate in any action that compromises respect for the law. Should any doubt arise as to whether given conduct complies with current legislation or with the values of the Code of Ethics and this Code of Conduct, it may be reported at https:\/\/grupo.lacasa.es\/canal-denuncias\/, and will be handled with due confidentiality.\u00a0<strong>III. DIGNITY AND RESPECT FOR PEOPLE\u00a0<\/strong>For the purposes of this Code, \"Managers\" shall mean those persons heading a department, unit or branch, or leading a team, as well as anyone holding power of attorney for any company or organisation within Grupo Lacasa. Managers are expected to:<\/p>\n<ul>\n<li>Show a high level of engagement with and identification with the Group's activity and strategy.<\/li>\n<li>Demonstrate a commitment to excellence through exemplary and model professional conduct. - Take joint responsibility for any non-wilful and non-negligent errors made by the members of the teams they lead.<\/li>\n<li>Have knowledge of the company's plans and strategy and embrace its values in order to convey them appropriately to their teams.<\/li>\n<li>Show an ongoing commitment to training in order to keep their knowledge up to date and suited to the company's challenges.<\/li>\n<\/ul>\n<p>With regard to the staff for whom they are responsible, managers must:<\/p>\n<ul>\n<li>Demand effectiveness.<\/li>\n<li>Foster a good working environment through a relationship that motivates and inspires trust.<\/li>\n<li>Ensure that work is carried out under appropriate conditions.<\/li>\n<li>Encourage a participative management, direction and leadership style, which will translate into a stronger focus on teamwork.<\/li>\n<\/ul>\n<p><strong>IV. EQUALITY, RESPECT AND DIVERSITY\u00a0<\/strong>Grupo Lacasa is committed to maintaining positive working environments, free from harassment or violence, in which dignity is respected and professional and personal development is fostered. Grupo Lacasa's Workplace Harassment Protocol sets out in detail the standards of conduct to be followed by members of the organisation regarding the prevention of harassment and acts of violence in the workplace. All members of Grupo Lacasa must treat one another respectfully and professionally, in order to foster a rewarding and safe working environment that encourages everyone to give their best. Likewise, relationships between members of the organisation and companies, customers, consumers or suppliers will be based on the same criteria, on professional respect and on mutual cooperation. Furthermore, any form of discrimination is prohibited. Grupo Lacasa aims to promote equal opportunities and is committed to providing the means to help its employees develop professionally and personally, in accordance with its Equality Plan. Grupo Lacasa promotes respectful treatment among colleagues, including company managers, at all times, without accepting any form of discrimination based on gender, race, age, nationality, social origin, religion, disability, sexual orientation, marital status or political views, nor any intrusion into privacy. In addition, cooperation between the various departments will be required in order to achieve the company's objectives.\u00a0<strong>V. SAFETY<\/strong>\u00a0Employees and any personnel accessing Grupo Lacasa's facilities are required to know and comply with the legal and regulatory health and safety measures applicable to their job. The consumption of alcohol and\/or drugs by any of the above-mentioned persons is prohibited on all premises, as is carrying out assigned duties while under the effects of such substances.\u00a0<strong>VI. CONFLICTS OF INTEREST<\/strong>\u00a0A conflict of interest arises when an employee's personal interests, or the interests of a third party, compete with the interests of Grupo Lacasa. Employees of the organisation may only carry out work or professional activities, other than those forming part of their relationship with the company, outside their working hours and provided they do not impair the performance of their own duties or conflict with the company's interests. In all cases, they must adhere to the conduct permitted under the Conflict of Interest Policy, which is available to them on the Employee Portal.\u00a0<strong>VII. GIFTS AND HOSPITALITY\u00a0<\/strong>Grupo Lacasa declares itself opposed to influencing the will of persons outside the organisation in order to obtain any benefit through unethical practices. Likewise, it will not allow other persons or entities to use such practices with its employees. The Board of Directors, executives and managers may not directly or indirectly accept gifts or compensation of any kind intended to improperly influence their commercial, professional or administrative relationships, whether with public or private entities. Likewise, employees may not directly or indirectly make or offer payments, gifts or compensation of any kind that are not considered part of the normal course of business, in order to attempt to improperly influence their commercial, professional or administrative relationships, whether with public or private entities. At all times, members of Grupo Lacasa will abide by the Gifts Policy, which allows for minimal courtesy hospitality between professionals and companies, and which is available to them on the Employee Portal.\u00a0<strong>VIII. ACCURACY OF INFORMATION AND CONFIDENTIALITY<\/strong>\u00a0Grupo Lacasa regards information and knowledge as one of its main assets, essential to business management, and therefore subject to special protection. It declares the truthfulness of information to be a basic principle in all its actions, and employees must therefore communicate all information they need to convey, whether internally or externally, truthfully, and must never knowingly provide incorrect or inaccurate information that could mislead the recipient. All employees who enter any type of information into the organisation's IT systems must ensure that it is accurate and reliable. They must also refrain from any practice that contravenes the commitment to clearly and accurately reflect all financial transactions in the organisation's accounts. Access to customer and supplier data is only justified for professional reasons, and its safekeeping and use must guarantee the right to privacy and strictly comply with current legislation on the protection of personal data. Under no circumstances may family, financial or personal ties with customers justify a breach of confidentiality. Customers and suppliers will be guaranteed privacy and confidentiality in their conversations and transactions at all times. Professional secrecy will be maintained regarding any commercial, financial or strategic information held about Grupo Lacasa and all its associates, except where expressly authorised or where required by legal or judicial order. The strictest confidentiality will be observed in carrying out the various operational processes, working systems and any other internal procedure.\u00a0<strong>IX. USE OF IT AND TECHNOLOGICAL RESOURCES\u00a0<\/strong>All persons must make appropriate, responsible and lawful use of the IT systems and tools made available to them for carrying out their work. For this reason, anyone provided with an electronic device, whether a smartphone, laptop or desktop computer, must assume the following obligations:<\/p>\n<ul>\n<li>The employee to whom a laptop is assigned is responsible for it. The device's details, the responsible person, its use and its configuration must be included in the device receipt.<\/li>\n<li>Handling of laptops is restricted to the department responsible for their maintenance. Devices will be provided with the applications or programs necessary to carry out the tasks assigned to the user by the company; the installation of software, applications or programs, or any changes to the configuration, is therefore prohibited without prior written authorisation.<\/li>\n<li>Users are prohibited from accessing, from their device, any content that is not necessary for carrying out their professional duties. - It is strictly forbidden for persons outside the company to access, use, hold or handle laptops that are the responsibility of an employee.<\/li>\n<li>Users are prohibited from using personal devices to carry out their work, unless previously authorised in writing by the IT Department. In all cases, the device's security measures will be those established by the department responsible for its configuration.<\/li>\n<\/ul>\n<p><strong>X. IMAGE AND REPUTATION OF THE COMPANY\u00a0<\/strong>This Code of Conduct applies to individuals' participation in the media, social networks or any other form of public communication, provided that such activity is not conducted in a personal capacity and does not therefore imply, in any way, a relationship with Grupo Lacasa or one that could be associated with it. Likewise, respect for the image and reputation of Grupo Lacasa and the entire organisation on the part of customers and suppliers, and partner companies in general, will be monitored.\u00a0<strong>XI. USE OF SOCIAL NETWORKS\u00a0<\/strong>Any mention of Grupo Lacasa on social networks must be transparent, with the person identifying themselves and stating that they work for the organisation. Where the Group is mentioned via a private account making statements that could have an impact on the Group, it should be remembered that the opinions expressed on that account are personal and do not represent those of our organisation. Setting up an official Group account, or acting as a spokesperson for Grupo Lacasa to share information about the company, requires the approval of the Marketing Department. Only these accounts may display the company logo. Information about other persons, whether customers, suppliers or colleagues, must never be disclosed. Personal data or images may not be improperly used without the employee's permission, nor may social networks be used to exchange information belonging to a customer or supplier.<\/p>\n<h2>COOPERATION AND COMMUNICATION<\/h2>\n<p>Employees of Grupo Lacasa and third parties will report, in good faith, any actions contrary to the Code of Conduct that they may observe. To do so, they will use the Whistleblowing Channel established by the company, which allows employees and third parties to confidentially raise queries and report irregular conduct, whether of a criminal nature or otherwise, relating to the Code of Conduct. Reports will be made via\u00a0<a href=\"https:\/\/grupo.lacasa.es\/canal-denuncias\/\">https:\/\/grupo.lacasa.es\/canal-denuncias\/<\/a><\/p>\n<h2>BREACH OF THE CODE OF CONDUCT<\/h2>\n<p>Breach of this Code may result in the adoption of corrective measures by the Control Body through the Human Resources Department, always safeguarding the legal guarantees of the persons affected and in accordance with the law in force in the territory in which they are applied. This is without prejudice to any disciplinary powers that may apply under the Workers' Statute or the applicable Collective Bargaining Agreement. Grupo Lacasa employees will scrupulously comply with the applicable legislation in each territory and, in a subsidiary manner, will respect the letter and spirit of this Code of Conduct and the organisation's Code of Ethics.<\/p>\n<h2>ENTRY INTO FORCE<\/h2>\n<p>This Code of Conduct shall enter into force on the day following its approval by Grupo Lacasa's Board of Directors.
